Terms and Conditions of B2B Sales - Frantoio Perilli

Prices and Validity

 

All prices listed in the catalog and within the B2B portal are to be understood as excluding VAT. To ensure stability for our business partners, the agreed prices are locked until 03/31/2028 and are valid for the oil produced during the 2025/2026 olive oil campaign.


Conclusion of the Contract and Validity of the Clauses


The submission of the order through the portal constitutes a purchase proposal. The sales contract is considered formally concluded only when PERILLI ANDREA E FIGLI S.R.L. sends the shipping confirmation to the Buyer. The company reserves the right to cancel orders in the event of computer anomalies regarding prices or sudden unavailability of stock, providing an immediate refund of the amount paid. If any single clause of these conditions is deemed null or invalid by law, the remaining clauses will retain their full and total effectiveness (Severability Clause).

Shipping and Deliveries


The methods and costs of standard shipping are to be agreed upon during the order finalization phase.
However, to reward purchase volumes, shipping is on us (free) throughout Italy for orders with a minimum amount of €1,000.00. 
For professional customers (B2B), the goods travel at the risk and peril of the Buyer from the moment they are handed over to the courier. Any damage, theft, or loss during transport must be reported directly to the carrier at the time of delivery, by placing a "Specific Reservation" (e.g., crushed package, wet box) on the logistics or electronic transport document. A generic reservation may invalidate refund requests..

Payment Methods


To confirm and fulfill the order, we exclusively require advance payment methods. The processing and shipping of the goods will only occur once payment has been received. The payment methods accepted on our portal are:

  • Apple Pay

Receipt of Goods and Complaints


At the time of delivery, the Buyer is required to check that the packaging is intact and unaltered. Any external damage or discrepancies in the number of packages must be immediately reported to the courier, by adding the wording "Acceptance with Reservation of Control" on the delivery document. Any defects or faults in the products must be reported in writing to PERILLI ANDREA E FIGLI S.R.L. within 8 (eight) days of receiving the goods, under penalty of forfeiture (Art. 1495 c.c.).

Exclusion of the Right of Withdrawal (B2B)


Since this portal and the related price list are reserved exclusively for Professional Clients (businesses, resellers, Ho.Re.Ca. operators) who purchase for purposes related to their work activities with the issuance of an invoice on VAT, the right of withdrawal provided for by the Consumer Code (Legislative Decree 206/2005) does not apply, as it is reserved solely for private consumers.

 

Force Majeure


The seller shall not be held responsible for delays or non-deliveries due to force majeure, exceptional weather events, pandemics, strikes, or other circumstances beyond their reasonable control (including shortages of raw materials due to climatic reasons related to the agricultural year). In such cases, the seller will promptly communicate the impediment and propose alternative timelines, without the Buyer being able to claim any damages.

 

Applicable Law and Jurisdiction


The present Terms and Conditions and the related sales contracts are governed by Italian Law. For any disputes arising from the interpretation, execution, or resolution of the B2B sales contract, the Court of Trani shall have exclusive jurisdiction.

 

Conservation and Warranty


Extra Virgin Olive Oil is a natural product that is subject to alterations if not stored properly. The Buyer agrees to keep the goods in cool, dry places, away from direct sources of light and heat (ideal temperature 12°C - 18°C). PERILLI ANDREA E FIGLI S.R.L. disclaims all responsibility and will not accept any complaints or refund requests for product defects (e.g., oxidation, organoleptic defects) resulting from negligence, improper storage, or poor preservation by the Buyer after delivery.

 

Invoicing


As a B2B portal, a regular electronic invoice will be issued for each order. The Buyer is solely responsible for the accuracy of the data provided at the time of registration and checkout (Company Name, VAT Number, Unique SDI Code and/or PEC). No changes to the invoice will be possible after it has been issued.

 

Use of the Trademark


The purchase of products does not grant the Buyer any rights to the trademarks, images, texts, or logos owned by PERILLI ANDREA E FIGLI S.R.L. Any use of the "Frantoio Perilli" (or "Puglo") trademark for promotional or commercial purposes by the retailer must be previously authorized in writing by our company.

 

Nature of the Product and Tolerances


Extra Virgin Olive Oil is a natural and artisanal product. The presence of slight sediments at the bottom, any variations in color or cloudiness related to temperature fluctuations are natural characteristics of the product and do not constitute a defect in any way. The weights and volumes indicated comply with the legal tolerances required for pre-packaged goods.

Prohibition of Repackaging and Trademark Protection (B2B)

In order to protect public health and the integrity of the brand, it is strictly prohibited for the B2B Buyer (retailers, restaurateurs, etc.) to transfer, mix, dilute, or repackage the purchased oil. The product must be resold or provided to end consumers exclusively in its original and sealed packaging. Any violation will result in the immediate termination of the contract and a claim for damages.



Terms for Private Customers

TERMS APPLICABLE EXCLUSIVELY TO PRIVATE CONSUMERS (B2C)

Right of Withdrawal (For Private Customers Only)

According to Legislative Decree No. 206/2005 (Consumer Code), if the Buyer is a private consumer (who purchases without a VAT number), they have the right to withdraw from the purchase contract within 14 days of receiving the goods, without having to provide any reason. The right of withdrawal applies only if the product is intact, sealed, and kept in its original packaging. Since oil is a food product, for hygiene and health protection reasons, returns are not accepted for opened bottles or containers. The shipping costs for returning the goods are the responsibility of the consumer.

The exclusion of returns for opened bottles or milk is applied pursuant to Article 59 of the Consumer Code, which excludes the right of withdrawal for the supply of sealed goods that are not suitable for return for hygiene reasons or related to health protection and have been opened after delivery.

 

Warranty and Jurisdiction (For Private Customers Only)

For private consumers, the Legal Warranty of Conformity provided by the Consumer Code applies, valid until the expiration date (TMC - Minimum Shelf Life) indicated on the product, provided it has been stored correctly. Any defects must be reported within 2 months of discovery. For any disputes with a private consumer, the competent court is unavoidably that of the place of residence or domicile of the consumer, if located within the territory of the Italian State.
